These Terms & Conditions (the "Terms") form a legally binding agreement between you (an individual or entity using the Services, referred to as "you", "your", "Customer" or "Practitioner") and Ai Dent (a/k/a "ai.dent", "Ai Dent", "we", "our" or "us"). By accessing or using Ai Dent’s website, platform, APIs, software-as-a-service, mobile applications, or any other service offered by Ai Dent (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

• Account: the registration record enabling a Customer to access the Services.
• AI Outputs: any inferences, annotations, classifications, scores, visual overlays, diagnostic suggestions, or other results generated by Ai Dent’s artificial intelligence or machine-learning models from input data.
• Controller / Processor: as applicable under local law, the party that determines the purposes and means of processing personal data (Controller) and the party that processes personal data on behalf of the Controller (Processor).
• Customer Data: all data, documentation, text, images (including DICOMs and other radiographic files), annotations, and other information uploaded, entered, or submitted by you or on your behalf into the Services.
• Documentation: user guides, developer guides, API documentation, and other instructional materials provided by Ai Dent.
• Practitioner: a licensed dental professional, clinic, hospital, or other healthcare entity using the Services for clinical care, diagnosis support, education or research as authorised by Ai Dent.
• Sensitive Data / Health Data: personal data that reveals health information, medical history, or other data that is subject to heightened regulatory protection.
• Services: Ai Dent’s cloud-hosted software, platform, APIs, web interfaces, and mobile applications for dental x-ray analysis and ancillary services.

• Services: Ai Dent’s cloud-hosted software, platform, APIs, web interfaces, and mobile applications for dental x-ray analysis and ancillary services.

3.2 Acceptance. By creating an Account, clicking "Accept," or accessing the Services, you accept and agree to be bound by these Terms.

4. Account Registration; Security
4.1 Account Setup. You will provide complete, accurate and up-to-date information when registering for an Account, and will maintain and promptly update that information.
4.2 Access & Credentials. You are responsible for maintaining the confidentiality of Account credentials and for all activities that occur under your Account. You must notify Ai Dent immediately of any suspected account compromise.
4.3 Role-Based Access. For multi-user Accounts, the Account Owner is responsible for assigning roles, permissions and ensuring that users are properly authorised to access patient data and clinical features.

5. License Grant; Restrictions:
5.1 Limited License. Subject to these Terms and payment of applicable fees, Ai Dent grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal clinical, administrative, research or educational purposes.
5.2 Restrictions. You shall not (and shall not permit others to): (a) reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code or model weights; (b) reproduce, redistribute, resell, sublicense, or otherwise commercially exploit the Services except as expressly permitted; (c) modify the Services or create derivative works of Ai Dent’s models; (d) remove, obscure or alter proprietary notices; (e) use the Services to develop competing products; or (f) use the Services in any manner that violates applicable laws or professional codes

6. Customer Data; Ownership; License to Ai Dent
6.1 Ownership. As between you and Ai Dent, you retain all rights, title and interest in and to Customer Data, subject to your compliance with these Terms and any applicable laws.
6.2 License to Ai Dent. By submitting Customer Data to the Services you grant Ai Dent a worldwide, non-exclusive, royalty-free license to access, store, reproduce, transmit, and process the Customer Data strictly as necessary to provide, maintain, and improve the Services, and to comply with legal obligations. Ai Dent shall process Customer Data in accordance with the Privacy Policy and any applicable Data Processing Addendum.
6.3 Anonymised and Aggregated Data. Ai Dent may create anonymised or de-identified datasets derived from Customer Data and use such datasets for internal product development, analytics, benchmarking and model improvement, subject to anonymisation safeguards and any restrictions in a written agreement. Such anonymised datasets shall not identify you or your patients.

7. Clinical Use; Medical Disclaimer
7.1 Decision Support Only. The Services are clinical decision-support tools and are not a substitute for professional medical judgment. AI Outputs are probabilistic and may be imperfect, incomplete, or contextually inappropriate.
7.2 Practitioner Responsibility. Final clinical decisions and patient management remain the sole responsibility of the treating Practitioner. You shall ensure that all AI Outputs are reviewed and validated by a suitably qualified healthcare professional before relying on them for diagnosis or treatment.
7.3 No Warranty for Clinical Outcomes. Ai Dent provides no warranty that use of the Services will lead to specific clinical outcomes, diagnostic accuracy, or reduced malpractice exposure.

8. Data Protection & Privacy
8.1 Privacy Policy. Ai Dent’s handling of personal and health data is governed by its Privacy Policy. You acknowledge that you have read the Privacy Policy and that it forms part of these Terms.
8.2 Roles and Cooperation. In situations where Ai Dent acts as Processor, and you are the Controller (or vice versa), both parties shall comply with their obligations under applicable data protection laws. Where a formal Data Processing Addendum is required by law or requested by the parties, the parties will execute a DPA which will set out roles, sub-processing, transfer mechanisms, security measures, breach notification procedures and audit rights.
8.3 Security Measures. Ai Dent will implement and maintain appropriate technical and organisational measures to protect Customer Data, including encryption in transit and at rest, access controls, logging, monitoring and vulnerability management, in accordance with industry best practices.
8.4 Data Subject Rights. Ai Dent will, taking into account the nature of the processing, assist you to the extent reasonably possible in responding to requests from data subjects exercising their privacy rights.
8.5 Cross-Border Transfers. Customer Data may be transferred, stored or processed outside the country where it was collected. Ai Dent will rely on appropriate where required

9. Fees, Payment & Taxes
9.1 Fees. Use of the Services may require payment of subscription fees, usage fees, or other charges as set out in an Order Form or on the website.
9.2 Payment Terms. Fees are payable in the currency and within the timeframe set out in the invoice or Order Form. Late payments may attract interest or suspension of Services.
9.3 Taxes. Customer is responsible for all applicable taxes arising from its use of the Services, excluding taxes based on Ai Dent’s net income.
9.4 Refunds & Trial. Trial offers, refunds, or credits are granted only where expressly described in an applicable offer or Order Form.

10. Service Levels, Maintenance & Support
10.1 Service Availability. Ai Dent will use reasonable efforts to make the Services available in accordance with any published Service Level Agreement (SLA). Specific uptime commitments must be set out in a written agreement.
10.2 Maintenance. Ai Dent may schedule maintenance windows and may temporarily suspend the Services for upgrades, security patching, or emergency maintenance. Ai Dent will give as much notice as reasonably practicable for scheduled maintenance.
10.3 Support. Support levels, response times and contact channels will be described in the Documentation or an Order Form.

11. Third-Party Services & Integrations
11.1 Third-Party Software. The Services may interoperate with third-party services, plug-ins, or third-party devices ("Third-Party Services"). Ai Dent is not responsible for the content, availability, or performance of such Third-Party Services.
11.2 Compliance with Device Requirements. If you use third-party imaging devices, capture hardware or medical devices in conjunction with the Services, you are responsible for their proper verification, calibration, sterilisation and compliance with applicable medical device regulations
11. Third-Party Services & Integrations
11.1 Third-Party Software. The Services may interoperate with third-party services, plug-ins, or third-party devices ("Third-Party Services"). Ai Dent is not responsible for the content, availability, or performance of such Third-Party Services.
11.2 Compliance with Device Requirements. If you use third-party imaging devices, capture hardware or medical devices in conjunction with the Services, you are responsible for their proper verification, calibration, sterilisation and compliance with applicable medical device regulations
11. Third-Party Services & Integrations

11.2 Compliance with Device Requirements. If you use third-party imaging devices, capture hardware or medical devices in conjunction with the Services, you are responsible for their proper verification, calibration, sterilisation and compliance with applicable medical device regulations
12. Intellectual Property
12.1 Ai Dent IP. Ai Dent and its licensors retain all right, title and interest in and to the Services, including but not limited to underlying models, algorithms, source code, object code, software architecture, Documentation, graphical interfaces, databases, training datasets (excluding Customer Data), know-how, trade secrets, domain names, trademarks, service marks, brand names, logos, and other proprietary materials, together with all related intellectual property rights ("Ai Dent IP").
12.2 Restrictions on IP Use. Except as expressly permitted, you may not copy, distribute, publicly display, modify, translate, adapt, or create derivative works of any Ai Dent IP. No title or ownership of Ai Dent IP is transferred to you under these Terms.
12.3 Feedback and Suggestions. If you provide comments, suggestions, or feedback regarding the Services ("Feedback"), you grant Ai Dent a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, distribute, and create derivative works of such Feedback without restriction and without obligation to you.
12.4 AI Model Improvement. Ai Dent may train, retrain, fine-tune, or otherwise improve its AI models using anonymised or de-identified datasets derived from Customer Data, provided such use complies with applicable law and contractual obligations.
12.5 Protection of IP. You acknowledge that Ai Dent’s models, outputs, and associated technologies are proprietary trade secrets protected under intellectual property law. You shall not file patents or attempt to claim ownership of any invention or work derived from Ai Dent IP.
12.6 Trademarks. "Ai Dent," "ai.dent," and all related names, product names, logos, slogans, and designs are trademarks of Ai Dent. You may not use these marks without prior written consent, except to truthfully reference the Services.
12.7 IP Indemnity by Ai Dent. Ai Dent will defend you against any claim that the Services infringe the intellectual property rights of a third party, provided you promptly notify Ai Dent of the claim and allow Ai Dent sole control of the defence. Ai Dent may, at its discretion, (a) procure rights to continue use, (b) modify the Services to avoid infringement, or (c) terminate the affected Services and refund prepaid fees for unused services.
